NOTICE: PLEASE READ THESE TERMS CAREFULLY BEFORE USING SEALED.

By accessing or using Sealed (the "Service"), creating an account, or clicking "I Agree," you ("User," "you") acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to all of these Terms, you must immediately stop using the Service.

These Terms constitute a legally binding agreement between you and the Company.

SECTION 1 — CRITICAL DISCLAIMERS

1.1 Not a Legal Service

SEALED IS A RECORD-KEEPING AND ORGANIZATIONAL TOOL ONLY. IT IS NOT A LAW FIRM, LEGAL SERVICE, OR SUBSTITUTE FOR PROFESSIONAL LEGAL ADVICE.

  • We are not attorneys. No attorney-client relationship is formed by your use of this Service.
  • Nothing in this Service, its features, outputs, documentation, communications, or any materials provided by Sealed constitutes legal advice, legal opinion, or legal representation.
  • Records, logs, exports, or PDFs generated by Sealed are personal organizational documents only. They have no guaranteed legal standing, evidentiary value, or admissibility in any court, tribunal, arbitration, or administrative proceeding.
  • The Company makes no representation that any record created using this Service will be accepted as evidence in any legal proceeding.

ALWAYS CONSULT A QUALIFIED, LICENSED ATTORNEY IN YOUR JURISDICTION FOR LEGAL MATTERS.

1.2 No Guarantee of Outcomes

The Company does not guarantee any specific outcome — legal, financial, housing-related, or otherwise — resulting from your use of Sealed. Use of this Service does not improve, strengthen, guarantee, or otherwise affect the merits of any legal claim or defense.

1.3 Not a Tamper-Proof System

While Sealed applies reasonable timestamps to records at the time of creation, the Company does not represent or warrant that records are cryptographically certified, legally certified, notarized, tamper-proof, or otherwise certified for legal use. You are solely responsible for independently verifying and preserving evidence for any legal proceeding.

SECTION 2 — ELIGIBILITY AND ACCOUNT

2.1 Age Requirement

You must be at least 16 years of age to use Sealed. By using the Service, you represent and warrant that you are 16 or older. If you are under 16, you are not permitted to use this Service and must immediately discontinue use.

2.2 Account Responsibility

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account, whether or not authorized by you
  • Notifying us immediately of any unauthorized access at support@apprentrecord.com

You may not share your account, create accounts on behalf of others without their explicit consent, or create multiple accounts to circumvent any restriction or suspension.

2.3 Accurate Information

You agree to provide accurate, current, and complete information when creating your account. We reserve the right to terminate any account we determine is using false or misleading information.

SECTION 3 — THE SERVICE

3.1 What Sealed Provides

Sealed provides:

  • A digital interface for creating and storing timestamped log entries related to rental housing
  • Categories for communication, maintenance requests, and payment records
  • The ability to attach photos or files to log entries
  • The ability to export your records as a PDF summary

3.2 What Sealed Does Not Provide

Sealed does not provide:

  • Legal advice, legal representation, or legal services of any kind
  • Certified, notarized, or court-certified documentation
  • Any guarantee of evidentiary weight or admissibility
  • A communication platform between tenants and landlords (records are private to each user)
  • Escrow, payment processing, or financial services

3.3 Service Availability

We do not guarantee uninterrupted, error-free, or continuous availability of the Service. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice, and without liability to you.

SECTION 4 — USER CONTENT AND CONDUCT

4.1 Your Content

You retain ownership of all records, notes, photos, and files you upload to Sealed ("User Content"). By submitting User Content, you grant the Company a limited, non-exclusive, royalty-free, worldwide license to store, host, and transmit your User Content solely for the purpose of providing the Service to you. This license terminates when you delete the content or your account.

4.2 Your Responsibility for Content

You are solely and exclusively responsible for the accuracy, legality, and integrity of all User Content you submit. You represent and warrant that:

  • Your User Content is truthful and accurate to the best of your knowledge
  • Your User Content does not violate any law or the rights of any third party
  • You have all necessary rights to submit the User Content

4.3 Prohibited Conduct

You agree you will NOT use Sealed to:

(a) Create, submit, or store false, fabricated, fraudulent, forged, or misleading records for use in legal proceedings or for any other purpose;

(b) Harass, threaten, stalk, intimidate, or harm any person;

(c) Violate any applicable local, state, federal, or international law or regulation, including but not limited to housing laws, privacy laws, or anti-fraud statutes;

(d) Impersonate any person or entity;

(e) Attempt to gain unauthorized access to any part of the Service, other users' accounts, or associated systems;

(f) Reverse engineer, decompile, disassemble, scrape, copy, sell, resell, or exploit any portion of the Service;

(g) Introduce malware, viruses, or any harmful code into the Service;

(h) Use the Service for any commercial purpose other than your own personal record-keeping;

(i) Facilitate, assist, or encourage any third party to engage in any of the above.

Violation of these rules may result in immediate account suspension or termination, reporting to appropriate authorities, and legal action.

SECTION 5 — INTELLECTUAL PROPERTY

All content, design, code, trademarks, logos, and materials comprising Sealed (excluding your User Content) are owned by or licensed to the Company and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our express written permission.

SECTION 6 — DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Merchantability — we do not warrant the Service is fit for ordinary purposes
  • Fitness for a particular purpose — including but not limited to use in legal proceedings
  • Accuracy or completeness — of any records, timestamps, or exported documents
  • Non-infringement — we do not warrant the Service does not infringe any third-party rights
  • Security — we do not warrant the Service is free from vulnerabilities, breaches, or unauthorized access
  • Reliability — we do not warrant continuous, uninterrupted, or error-free operation
  • Legal effectiveness — we expressly disclaim any warranty that records created using this Service will be admissible as evidence or will be effective in any legal proceeding

No oral or written information or advice given by us shall create any warranty.

SECTION 7 — LIMITATION OF LIABILITY

READ THIS SECTION CAREFULLY. IT LIMITS THE COMPANY'S LIABILITY TO YOU.

7.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OWNER(S), OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY:

  • Direct, indirect, incidental, special, consequential, punitive, or exemplary damages
  • Lost profits, lost revenue, or lost business opportunities
  • Loss of housing, eviction, or adverse housing outcomes
  • Damages arising from reliance on records created using the Service in any legal proceeding
  • Loss or corruption of data
  • Damages resulting from service interruptions or downtime
  • Damages resulting from security breaches or unauthorized access to your data

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50.00).

7.3 Essential Basis

THE LIMITATIONS OF LIABILITY IN THIS SECTION ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND THE COMPANY. THE SERVICE WOULD NOT BE PROVIDED TO YOU WITHOUT THESE LIMITATIONS.

7.4 Jurisdictional Limitations

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

SECTION 8 — INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company and its owner(s), officers, employees, agents, affiliates, contractors, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

(a) Your use of or access to the Service;

(b) Your User Content;

(c) Your violation of these Terms;

(d) Your violation of any applicable law or regulation;

(e) Your violation of any third party's rights, including privacy rights or intellectual property rights;

(f) Any claim that records you created using the Service are false, fraudulent, or misleading;

(g) Any legal proceeding in which you use or attempt to use records created with this Service.

SECTION 9 — DISPUTE RESOLUTION AND ARBITRATION

9.1 Informal Resolution First

Before filing any formal dispute, you agree to contact us at support@apprentrecord.com and attempt to resolve the dispute informally for at least 30 days.

9.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by final and binding arbitration, rather than in court. The arbitration shall be conducted by a mutually agreed-upon arbitrator under the rules of the American Arbitration Association (AAA) or JAMS.

9.3 CLASS ACTION WAIVER

YOU AND THE COMPANY EACH WAIVE THE RIGHT TO TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING.

All disputes must be brought on an individual basis only.

9.4 Exceptions

Nothing in this Section prevents either party from seeking injunctive or other equitable relief in court to prevent irreparable harm.

9.5 Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law provisions. For any matter not subject to arbitration, you consent to exclusive jurisdiction in the state and federal courts located in Wyoming.

SECTION 10 — TERMINATION

10.1 By You

You may delete your account at any time. Upon deletion, your data will be permanently removed within 30 days.

10.2 By Us

We may suspend or permanently terminate your account, with or without notice, if we determine in our sole discretion that you have violated these Terms, engaged in fraudulent or harmful conduct, or for any other reason we deem appropriate. We are not liable for any loss resulting from termination.

10.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. Sections 1, 6, 7, 8, 9, and 11 survive termination.

SECTION 11 — GENERAL PROVISIONS

11.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements, understandings, and representations.

11.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision is severed from these Terms. All remaining provisions remain in full force and effect.

11.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

11.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

11.5 Force Majeure

The Company is not liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, acts of government, internet or infrastructure failures, power outages, or acts of third parties.

11.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

11.7 Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or in-app notification. Your continued use of the Service after the effective date of modified Terms constitutes your acceptance of the changes.

11.7 App Permissions

The Sealed mobile application may request the following device permissions. Each permission is used solely for the stated purpose:

  • Camera: Required to take photos and attach them directly to log entries as evidence. We do not access your camera at any other time.
  • Photo Library / Storage: Required to attach existing photos from your device to log entries. We do not access, scan, or upload any photos other than those you explicitly select.
  • Notifications: Used to send you reminders to log events, alerts when you are approaching plan limits, and important account notifications. You may disable notifications at any time in your device settings.
  • Internet Access: Required to sync your records with our secure servers and deliver the app's core functionality.
  • Read External Storage (Android): Required to access files you choose to attach to log entries. No files are accessed without your direct action.

Granting or denying any optional permission will not affect your ability to use core features of the app. You may manage permissions at any time through your device's app settings.
